1. About Stayza Pro
Stayza Pro Limited (“Stayza,” “we,” “us”) is a Nigerian company that operates a software platform enabling property managers and short-let shortlet agents to accept bookings and process payments through their own branded subdomains (e.g. yourbusiness.stayza.pro). These Terms govern your use of the platform, whether you sign up as a host (a “Shortlet agent”) or book a stay through it (a “Guest”).
By creating an account or completing a booking, you confirm that you have read, understood and agreed to these Terms, our Privacy Policy and our Refunds & Cancellations Policy.
2. Three-party relationship
Each booking creates two distinct contracts:
- Stayza ↔ User: We provide the booking, payment, escrow and dispute infrastructure. We are not the host of any property and do not own, manage or inspect any listing.
- Shortlet agent ↔ Guest: The actual stay, including access, condition of the property, house rules and on-site service, is a contract between the Shortlet agent and the Guest. Stayza facilitates the transaction but is not a party to it.
3. Eligibility & account responsibility
You must be at least 18 years old. Shortlet agents must operate a lawfully constituted business or be an individual landlord with authority to let the property; CAC verification, phone OTP and bank-account name match are required before payouts can be received. You are responsible for keeping your login credentials secret and for all activity under your account.
4. Shortlet agent obligations
- Maintain accurate listings, calendars and pricing. Honour bookings the platform marks as confirmed.
- Honour the disclosures you commit to in the Reality Card (power, water, internet, security, neighbourhood). Knowingly misrepresenting these is grounds for termination.
- Comply with applicable building, safety and tenancy laws.
- Respond to guest messages within reasonable hours and address access or condition issues promptly.
- Use information you receive about a guest only for the purpose of fulfilling their booking.
5. Guest obligations
- Provide accurate booking information and a valid contact number.
- Use the property only for the purposes stated in the booking and follow the shortlet agent’s house rules.
- Treat the property and neighbourhood with care; you remain liable for damage caused during your stay beyond ordinary wear.
- Do not sublet, transfer the booking or exceed the maximum guest count without the shortlet agent’s written consent.
6. Pricing, fees and our commission
Guests pay the room fee, the cleaning fee, a refundable security deposit (where set by the shortlet agent) and a Stayza service fee that covers payment processing and platform costs. The total displayed at checkout is the total payable.
Stayza takes a flat commission of 5% on the room fee only. The cleaning fee, security deposit and service fee are not subject to commission.
7. Escrow and payouts
After successful payment, funds are held by Paystack (a CBN-licensed payment processor) on our instruction. Funds are released as follows:
- At booking confirmation:50% of the room fee plus the cleaning fee are released to the shortlet agent’s Stayza wallet.
- One hour after check-in (the guest dispute window): the remaining 50% of the room fee is released, less the 5% commission, which is collected at this point.
- Twelve hours after check-out (the shortlet agent dispute window): the security deposit is released back to the guest, unless the shortlet agent has opened a damage dispute.
Shortlet agents withdraw from their Stayza wallet to their verified bank account. Withdrawals are subject to a flat ₦3,000 fee inclusive of Paystack transfer charges.
8. Cancellations and refunds
Our standard cancellation tiers and dispute process are set out in the Refunds & Cancellations Policy, which forms part of these Terms.
9. Disputes between shortlet agents and guests
Stayza operates a structured three-lane dispute resolution process: (1) shortlet agent 24-hour first response, (2) admin binary decision where the facts are clear, (3) admin arbitration with a custom split where they are not. Outcomes are recorded in escrow events and are final unless successfully challenged through the legal venues set out below.
10. Prohibited conduct
- Bypassing Stayza to take payment off-platform after a booking has been initiated through it.
- Listing properties you do not have the legal right to let.
- Posting false reviews or manipulating ratings.
- Harassing, threatening or doxxing other users.
- Reverse-engineering, scraping or automating access to the platform without our written permission.
11. Intellectual property
Stayza retains all rights in the platform’s software, brand, designs and aggregated analytics. Shortlet agents retain ownership of their listing content (titles, descriptions, images) and grant us a non-exclusive licence to host, display and process it for the purpose of running the platform.
12. AI assistant (Sàbí)
Sàbí is an AI assistant that helps with booking, support and dashboard tasks. Its outputs may contain errors; you should treat amounts, availability and policy answers as advisory until confirmed by the platform’s authoritative data. We never authorise Sàbí to confirm a payment without backend verification.
13. Limitation of liability
To the maximum extent permitted by Nigerian law, Stayza is not liable for indirect, incidental, special or consequential damages, or for the acts and omissions of any shortlet agent or guest. Our aggregate liability for any claim arising from these Terms or the platform shall not exceed the greater of ₦200,000 or three times the platform fees we received from you in the three months preceding the claim.
Nothing in these Terms limits liability that cannot lawfully be limited, including liability for fraud or for death or personal injury caused by negligence.
14. Termination
You may close your account at any time once outstanding bookings are settled. We may suspend or terminate accounts without prior notice in cases of suspected fraud, breach of these Terms, regulatory direction, or sustained non-payment of amounts owed. Upon termination, surviving obligations (including payment, indemnity and limitation of liability clauses) continue.
15. Governing law & venue
These Terms are governed by the laws of the Federal Republic of Nigeria. The parties shall first attempt to resolve any dispute through Stayza’s internal dispute process. If unresolved within 30 days of formal notice, the dispute shall be referred to arbitration in Lagos under the Arbitration and Mediation Act 2023, with the courts of Lagos State retaining exclusive jurisdiction over interim relief and enforcement.
16. Changes to these Terms
We may update these Terms over time. Material changes will be notified by email at least 30 days before they take effect, or earlier if required to comply with law or to protect users. Continued use of the platform after the effective date constitutes acceptance.
